Who can apply for membership?

Professional service businesses on behalf of their clients who are looking for or seek full/part investment opportunities, business owners, and sophisticated investors who meet the ASIC criteria described in the Terms and Conditions.

How long does it take to find an investor?

It is not possible to give a general time to identify potential investors, however a business seeking a capital investment should be prepared for a process that can take many weeks to 6-12 months from start to finish. It is extremely rare to complete a capital raising in less than 3 months.

How do I edit my personal details?

Our Advisory services are focussed on growth strategies, including strategic and business plans, customer acquisition and retention, technology, efficiency and effectiveness programs, corporate governance and finance. 

Business Owner – How do you put me in touch with the interested Investors?

Chatham Capital Exchange receives and manages all investment enquiries and forwards any that fit the vendors/sellers criteria, to the designated contact as provided during the listing process.

If the business owner wishes to initiate contact with the investor, our support staff then agree the preferred method of contact and facilitate the introduction.

I’ve applied for membership, how long until I hear back from you?

Applications are normally reviewed within within two business days, however if you require an urgent response or access, please contact our support staff on the numbers provided.

Investor – Why can’t I have further information about the business?

Chatham Capital Exchange provides a Nationwide platform that facilitates the introduction of investors to investment opportunities, without the requirement for businesses to publicly advertise.

The provision of this service is paramount for Chatham Capital Exchange, therefore we agree with vendors/sellers during the sign up process what business details will be disclosed and confirm any investment criteria, and the parties are only introduced once the vendor/seller instructs us to facilitate this.

What is a Sophisticated Investor

As detailed in Section 708 of the Corporations Act 2001 (Cth), the term Sophisticated Investor describes a category of investor that can be offered securities without needing a prospectus or other regulated disclosure documents.

The logic behind this classification is that Sophisticated Investors — also often referred to as "high net worth individuals" and "s708 investors" — are considered to have sufficient investment knowledge and experience to make informed decisions regarding a new offer of securities without requiring the protection of a prospectus.

What Criteria is used to Identify Sophisticated Investors?

To satisfy the requirements for being classed as a Sophisticated Investor, you will have either:

- A gross income for each of the last two financial years of at least $250,000; or

- Net assets of at least $2.5 million.

What are the Benefits of Being a Sophisticated Investor?

Ultimately, qualifying as a Sophisticated Investor means increased access to opportunities.

As a Sophisticated Investor, you can be offered investment opportunities that aren't usually available to retail investors. These deals can come in the form of pre-IPO offers, hedge funds, property syndicates, and unlisted securities like capital raisings or seeding opportunities for private companies.

These kinds of investment opportunities have the potential to deliver high returns, but it should be noted that they are also often higher risk.

What Due Diligence do you engage when reviewing my application?

We review every application to ensure the suitability of the member to join the Chatham Capital Exchange community. This review will be a simple desktop review.

How much do you charge vendors/sellers?

Standard Membership is free and investors do not pay any fees or charges to Chatham Capital Exchange for enquiring about an investment or investing in a listed opportunity.

Vendors / Offerors listing an Investment Opportunity do pay an Administration Fee which covers the Chatham Capital Exchange Due Diligence process. A fee is also payable when Chatham Capital Exchange receives and forwards an investment enquiry that fits the vendor/sellers agreed criteria. If a full or partial investment takes place, a pre-agreed percentage based fee of the investment amount is payable to Chatham Capital Exchange.

Business Owner – How will I know if Investors are interested in my business?

If a sophisticated or corporate investor registers interest in an investment opportunity, a member of Chatham Capital will have preliminary discussions with them about the opportunity. If we deem that interests are aligned, contact will be made with the representatives of the company offering the investment. 

How do I apply for membership?

Membership requests should be completed online at www.chathamcapital.com.au.

Investor – How do I know if I have properly registered my interest in a business?

You will receive an email confirmation to your nominated email address within 24 business hours of requesting membership. We may request further information to confirm eligibility to be granted access to the portal.

What types of investment opportunities will members gain exposure to?

We receive funding/acquisition applications from a wide variety of industries, sectors and specialisations primarily who are private companies, partnerships or unlisted investment funds. Therefore members can expect to see a range of different opportunities over time. It should be noted that Chatham Capital Exchange specialises in alternative investment opportunities and does not deal in listed shares, managed funds or mainstream real estate opportunities.

Investor – I’ve clicked interested in a business, what now?

Chatham Capital Exchange receives and manages all investment enquiries and forwards all opportunities that fit the vendors/sellers criteria. If enquiries do not fit the nominated criteria, the investor is contacted to confirm this.

If the business owner wishes to initiate contact with the investor, our support staff then agree the preferred method of contact and facilitates the introduction.

What’s your minimum investment amount?

Membership is limited to sophisticated investors who meet the relevant ASIC definition and appropriate professional services organisations, therefore AUD$50,000 is the minimum.

Business Owner – How do I change my business details?

You can edit your details by logging in to the Chatham Capital Exchange portal using your Username and Password and then edit your Account information.
